Borrowers, originating institutions and loan investors
Founded in 2012, Upstart Holdings, Inc. is a publicly traded lending-technology business whose marketplace spans personal and small-dollar loans, revolving Cash Line credit, auto lending and home-equity lines. Its customers and counterparties include borrowers, originating institutions and loan investors. The company's July bank announcement describes more than 100 bank and credit-union relationships; that relationship count is not a measure of equal funding contributions. [1]
Upstart’s consumer disclosures distinguish Upstart Network, Inc., a non-lender marketplace operator, from Upstart Mortgage, LLC, doing business as Upstart Home Lending. These entities perform different roles within the group. [11]
A model can estimate repayment risk and propose a price, but a funding provider must accept the expected return and a borrower must accept the offer. Upstart earns fees, services outstanding accounts and retains some financial exposure; those activities do not have identical economics.
Growth in the second quarter
For Q2 2026, Upstart reported $4.227 billion of originations and 558,014 originations, each approximately 50% higher year over year. Revenue was $364.7 million; fee revenue was $348.0 million; GAAP net income was $16.5 million. Contribution profit was $193.1 million, with a 55% contribution margin versus 58% a year earlier. Adjusted EBITDA was $76.9 million. Unsecured products generated a 62% contribution margin; the combined secured category had a contribution margin of negative 35%. These are company-reported results for the quarter ended June 30, released August 4. [2]
Upstart's Q2 definition combines funded principal for installment loans, committed amounts for HELOCs and Cash Line draws. Its 91% automated-loan metric excludes Cash Line. For personal loans automation runs through funding; for auto and HELOC products it runs through approval because external processes may still require people. Conversion was 19.7%, versus a recast 21.0% comparison. [2]
A home-equity credit commitment is permission to borrow, while an installment disbursement is money already advanced. The automation percentage describes a process, not whether the resulting loans will repay. Contribution profit and adjusted EBITDA also measure different stages of profitability from GAAP net income.
Funding agreements and retained risk
On July 29, 2026, Upstart announced that Castlelake-managed funds agreed to buy up to $4 billion of platform consumer loans over up to 24 months. A June 24 renewal with Neuberger Specialty Finance, Neuberger Berman’s asset-based finance team, contemplated investment in up to $600 million of consumer loans. These announcements describe loan-purchase capacity, not equity investments of those amounts in Upstart or revenue already earned. [3][4]
At June 30, Upstart carried $1.064 billion of loans at fair value and $545.9 million of beneficial-interest assets. The latter can link its returns to portfolios sold to third parties. The amended Q2 filing also describes arrangements involving performance-dependent payments and limited downside protection. [5]
A forward-flow agreement provides a channel for selling eligible loans. Its ceiling is not a completed sale. Retained loans and interests in sold portfolios leave Upstart exposed to collections and valuation changes even when it earns most revenue from fees.
Loan vintages and AI comparisons
The Q2 10-Q/A corrected a risk-factor typo: as of June 30, personal-loan excluding small-dollar loans from Q2 2023 through Q1 2024, plus Q4 2024, were forecast to miss their original target returns. The erroneous reference was Q4 2025. This is a forecast-versus-original-target comparison, not a statement that every affected vintage has a negative absolute return. [5]
An Upstart consumer page describes an April 2026 comparison using 2025 application data that found 41% more approvals and 33% lower rates than a hypothetical traditional model. This is a company-model comparison, not a randomized comparison with every bank’s actual lending system. [11]
A loan vintage groups originations from the same period. Forecasts can change as repayments, prepayments and recoveries arrive; younger loans have had less time to show losses.
The latest monthly disclosure
Upstart’s October 5, 2026 release reported preliminary, unaudited September originations of $1.3783 billion, or $53.1 million per company-defined origination day, and Q3 originations of $4.1178 billion. August had recorded $1.3421 billion and $50.7 million per origination day. The Upstart Macro Index was 1.49 on October 5, compared with 1.50 on September 3. UMI reflects Upstart’s borrower base and historical portfolio analysis; it is not a forecast of the whole economy or company earnings. Monthly volume also does not supply a full quarterly expense or funding picture. [7][10]
A proposed bank, with approvals still to complete
Upstart announced OCC conditional approval for Upstart Bank, N.A. on July 23. Its release said FDIC deposit-insurance and Federal Reserve bank-holding-company applications remained pending, and operations could not start until required approvals and conditions were satisfied. Management's August prepared remarks targeted early 2027. No later commencement approval was verified for this profile. [1][8]
Conditional charter approval is a milestone toward a bank, not evidence that insured deposits are already being accepted. Any owned bank would bring its own capital, and supervisory obligations.
Regulatory and legal context
The CFPB terminated Upstart Network's 2020 no-action letter on June 8, 2022 at the company's request. The termination is not a continuing regulatory endorsement of current models. [9] Upstart's Q2 filing reports the securities case In re Upstart Holdings Securities Litigation, including class certification in March 2025 and contested claims; allegations remain distinct from findings of liability.
