Penske Corporation and Mitsui agree to take Penske Automotive Group private at $212 a share

Penske Automotive Group said a buyer owned by Penske Corporation and Mitsui & Co. will acquire the shares it does not already own for $212.00 a share in cash, in a deal that implies an enterprise value of about $16.3 billion and is expected to close in the first quarter of 2027.

Analysis

In a take-private deal, a company's outside shareholders are bought out and its shares stop trading on a public exchange. Here the buyers are already the company's largest shareholders, which is why the agreement requires approval from the company's shareholders as a whole and from its unaffiliated shareholders separately.

The agreement

Penske Automotive Group (NYSE: PAG) announced on October 15 that it had agreed to be acquired by Motown Acquisition Corp., an entity owned by Penske Corporation and Mitsui & Co., Ltd. Shareholders other than Penske, Mitsui and their investor group will receive $212.00 per share in cash [1].

The company said the price is a premium of 8.84% to its October 14, 2026 closing price and of about 8.6% to its July 21, 2026 closing price, the last trading day before the unsolicited proposal. It also cited premiums of about 20.09% and 26.17% to the 60-day and 90-day volume-weighted average prices for the period ended July 21 [1]. The deal implies an enterprise value of approximately $16.3 billion [1].

After closing, about 64% of the company is to be held by Penske and about 36% by Mitsui, and the stock will no longer trade or be listed on the New York Stock Exchange [1].

Approvals and timing

The company's board approved the agreement after a Special Committee of independent and disinterested directors unanimously recommended it. David Hoogendoorn chaired the committee and said the company was pleased to have reached the agreement with its largest shareholders, Penske and Mitsui [1].

Closing requires receipt of regulatory approvals, the affirmative vote of a majority of the outstanding shares entitled to vote, and approval by a majority of the votes cast by unaffiliated stockholders, as defined in the merger agreement. The company expects the transaction to close in the first quarter of 2027 and said it is not subject to a financing condition [1].

Roger Penske, the company's chair and chief executive, said the transaction marks an important next chapter for the company, and noted that Mitsui has been a shareholder for 25 years [1]. Until closing, the company expects to keep paying regular quarterly dividends, with increases capped at $0.02 per share above the prior quarter's amount [1].

About the company

The company describes itself as a diversified international transportation services company and one of the world's premier automotive and commercial truck retailers. It operates dealerships in the United States, the United Kingdom, Canada, Germany, Italy, Japan and Australia and employs over 28,900 people [1].

What remains uncertain

The agreement has not closed. It still needs regulatory approvals and the two shareholder votes described above, and the release lists the possible termination of the agreement and the availability of the buyer's committed debt financing among its risks. The release does not describe current ownership percentages for Penske Corporation or Mitsui.
