A savings institution becomes a regional bank

Northwest Bank traces its beginnings to a mutual savings bank founded in 1896. Its later development carried the franchise beyond northwestern Pennsylvania into western New York, northeastern Ohio and Indiana. By December 31, 2025, the bank reported 161 community-banking locations across those markets. Its headquarters remained in Warren, Pennsylvania. [1][3]

The parent company has a different address and a different history. Northwest Bancshares, Inc., based in Columbus, Ohio, was incorporated in 2009 as part of a mutual-to-stock conversion. That transaction replaced the former holding-company structure with a publicly owned corporation. It did not mark the founding of the bank itself. The insured institution is Northwest Bank, FDIC certificate 28178, a Pennsylvania-chartered savings bank. [1][3]

Household banking remains part of the foundation

Northwest’s 2025 annual report describes residential mortgages, home-equity lending and consumer loans alongside its business banking operations. Deposits from households and businesses help fund those loans; interest received on lending and securities is its principal revenue source. The bank also provides investment management and trust services. [3]

The consumer business extends beyond mortgages. Northwest offers auto refinancing, automobile and recreational loans arranged through intermediaries, unsecured personal loans and credit cards. A home, a car and an unsecured promise to repay provide different kinds of security: the filing notes that vehicles can depreciate quickly and recoveries after repossession may fall short of the loan balance. This is one reason the bank evaluates a borrower’s income and existing obligations as well as collateral. [3]

Business lending broadens the savings-bank model

Commercial customers bring another set of needs: financing operations, purchasing equipment and owning or developing property. Northwest’s real-estate lending includes apartments, student housing, senior living facilities, offices, hotels, industrial buildings and retail properties. The bank’s 2025 filing explains that repayment on income-producing property commonly depends on the successful operation of the property itself. [3]

The resulting bank is neither solely a mortgage lender nor solely a business bank. At year-end 2025, the parent’s annual report described $2.5 billion of other consumer loans and $3.3 billion of commercial real-estate loans, approximately 19% and 26% of gross loans respectively. Those dated portfolio categories help explain how far the institution’s activities extend beyond its original savings-bank identity. [3]

Two Pennsylvania banks join Northwest

On July 25, 2025, Northwest Bancshares completed its acquisition of Penns Woods Bancorp. Immediately afterward, Penns Woods’ subsidiaries Jersey Shore State Bank and Luzerne Bank each merged into Northwest Bank, which survived. This was a completed combination of both parent companies and insured banks, not merely an announcement of a planned acquisition. [3][4]

The closing announcement said the transaction added 21 locations in north-central and northeastern Pennsylvania after consolidation. The release said the former Jersey Shore and Luzerne locations had been rebranded following customer and data conversion over July 26–27. Penns Woods chief executive Richard A. Grafmyre joined the boards of Northwest Bancshares and Northwest Bank. These are acquisition-date descriptions, rather than a claim that all three banks remained separately insured afterward. [4]

A larger bank changes the earnings comparison

Northwest Bancshares reported $126 million of net income for 2025, up from $100 million in 2024. Its annual report attributed the improvement partly to increased interest-earning assets following the Penns Woods acquisition. The comparison also benefited from the absence of the prior year’s securities-sale loss, while higher expenses and credit-loss provisions offset some of the improvement. [3]

Those are consolidated parent results for a full year. They cannot be compared directly with six months of bank-only income without adjusting the period and entity. The acquisition also means that growth in total loans, deposits or earnings is not wholly evidence of growth within the pre-existing franchise. [3]

The insured bank at June 30, 2026

The FDIC reports $17.206 billion of assets, $14.386 billion of deposits, $13.095 billion of net loans and leases, and $1.996 billion of equity for the insured bank at June 30, 2026. Net income of $112.274 million covers the first six months of 2026. These bank-only figures are converted from thousands of dollars; they are not consolidated parent results or standalone second-quarter profit. [2]

Real-estate loans totaled $7.486 billion, approximately 56.5% of gross loans and leases. That broad category includes different kinds of property lending and is not synonymous with commercial real estate. Securities totaled $2.460 billion. [2]
